What advantages does a SOCIMI offer?
A SOCIMI offers various advantages. In terms of taxation, it offers an exemption from the payment of corporate taxes, in this case, the rebate is a very high percentage, around 25% of transfer tax and stamp duty.
On the other hand, capital gains generated throughout the life of the SOCIMI are not taxed. It is highly efficient, the purchase and sale of shares is very flexible. There are investment and divestment operations through this vehicle to maintain family and professional assets, it also offers great transparency and it is much easier to raise capital and partners, once you are listed. The entry of new partners is also much easier through the market.
It also provides the valuation of the company so you know exactly what your share price is. It is easier to do capital increases once you are listed, and then for family estates, it is much easier to reorganise for the future.
How do we do this?
At Gesvalt we offer different analyses in different phases. There is an incorporation phase. A prior analysis of the SOCIMI, of the structuring of the SOCIMI, is carried out. This SOCIMI and this company, this S.A., is prepared for incorporation into the market.
Ideally, we can also carry out a technical due diligence and before the incorporation, we value both the real estate and the assets, as well as the company, in terms of the IPO. We take into account both the business plan and the feasibility study provided by the company and how the company optimises its operating costs, and ideally, although it is not mandatory, we can carry out a cadastral audit and an energy efficiency exercise.
